1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your use of the RAISCORP website at www.raiscorp.com ("Website") and your engagement of services provided by RAISCORP ("we", "us", or "our").
By accessing the Website or using our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately discontinue use of the Website and services.
If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
2. Definitions
- "Client" means any individual or legal entity that engages RAISCORP for professional services under a separate Service Agreement.
- "Services" means Composable Cloud ERP implementation, Cloud Engineering, Applied AI development, and related professional services provided by RAISCORP.
- "Service Agreement" means any statement of work, proposal, contract, or engagement letter entered into between RAISCORP and a Client.
- "Deliverables" means any work product, software, documentation, analysis, or other output produced by RAISCORP under a Service Agreement.
- "User" means any individual who accesses or uses the Website.
3. Services
The Website provides information about RAISCORP's capabilities and allows prospective clients to make contact enquiries. The Website does not itself constitute a binding offer or contract for services.
Professional services are provided solely pursuant to a written Service Agreement. Nothing on the Website constitutes professional, legal, financial, or technical advice. All service-specific terms, pricing, deliverables, timelines, and payment schedules are governed exclusively by the applicable Service Agreement.
RAISCORP reserves the right to decline any engagement request at its sole discretion.
4. Intellectual Property
4.1 RAISCORP Property
All content on the Website — including but not limited to text, graphics, logos, icons, images, code, and the underlying software — is the exclusive property of RAISCORP or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. Unauthorised reproduction, distribution, modification, or use is strictly prohibited.
4.2 Deliverables
Intellectual property rights in Deliverables produced under a Service Agreement will be allocated as specified in that Agreement. Unless expressly stated otherwise in writing, RAISCORP retains all rights in tools, frameworks, methodologies, background IP, and generic components used or developed in the course of delivering services.
4.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Website or our services may be used by RAISCORP freely and without restriction, compensation, or obligation to you.
5. Acceptable Use
You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Use the Website in any way that violates applicable local, national, or international law or regulation.

10. Confidentiality
Information shared with RAISCORP during the enquiry or engagement process will be treated with reasonable confidentiality. Detailed confidentiality obligations, including mutual NDAs, are addressed in the applicable Service Agreement.
11. Term and Termination
These Terms apply for as long as you access or use the Website. RAISCORP may, at its sole discretion and without notice, terminate or restrict your access to the Website at any time for any reason, including violation of these Terms.
Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, and governing law — shall survive any termination.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in India for the resolution of any disputes arising from or related to these Terms or your use of the Website.
If you access the Website from outside India, you are responsible for compliance with local laws and regulations. RAISCORP makes no representation that the content of the Website is appropriate or available for use in all locations.
13. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be India. The arbitration shall be conducted in the English language.
14. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and RAISCORP with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, representations, or warranties.
16. Waiver
Failure by RAISCORP to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed in writing by RAISCORP.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Website following any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
